Welcome to Nexaura Academy (the "Platform", "Website"), operated by Nexaura Studios. By accessing our platform, creating an account via email or Google Single Sign-On, purchasing digital assets, enrolling in courses, or utilizing our download infrastructure, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

If you do not agree with any part of these Terms, you must immediately discontinue your use of the platform and refrain from downloading any assets or enrolling in courses.

2. Rules for Using the Website & Eligibility (18+ Policy)

Access to and utilization of Nexaura Academy is subject to the following fundamental operational rules:

• Age Requirement: You must be at least 18 years of age to register an account, purchase digital assets, or enter into this binding agreement. If you are under 18, you are not permitted to use our services or provide any personal details.
• Lawful Use Only: You agree to use the platform exclusively for lawful creative, commercial, and educational purposes in compliance with all applicable local, national, and international laws.
• System Integrity: You shall not disrupt, tamper with, overburden, or compromise the technical infrastructure, servers, database networks, or security measures of Nexaura Academy.

3. User Account Responsibilities & Security

To purchase assets, access downloadable files, or enroll in courses, you must create a user account via standard email registration or Google Single Sign-On (OAuth 2.0):

• Accuracy of Information: You agree to provide true, current, and complete details during registration and keep your account profile updated.
• Credential Confidentiality: You are solely responsible for maintaining the confidentiality of your account credentials, passwords, and active session tokens. Passwords are encrypted on our servers using bcrypt.
• Single-User License & No Account Sharing: Each account is granted on a strictly individual, single-user basis. You are strictly prohibited from sharing, pooling, renting, leasing, or transferring your login credentials, purchase history, or download keys with any third party, editing studio, or group.
• Notification of Breach: You must immediately notify our team at contact@nexaurastudios.com upon suspecting any unauthorized access or security breach involving your account.

4. Digital Creator Assets — Commercial License & Usage Rights

Every digital asset (LUT, Lightroom preset, Premiere Pro/After Effects template, motion graphic, sound effect, or editing pack) purchased on Nexaura Academy includes our standard Perpetual Commercial Creator License:

A. What You CAN Do (Permitted Usages)

• Commercial & Client Projects: You may use the assets in client video edits, commercial commercials, corporate video presentations, brand campaigns, and freelance deliverables with zero recurring royalties.
• Monetized Content Channels: Unlimited usage across YouTube, Instagram Reels, TikTok, Facebook, Twitch, and podcasts with full monetization rights and view counts.
• Broadcast & Streaming Media: Television broadcasts, indie feature films, OTT streaming series, music videos, and film festival entries.
• Perpetual Worldwide Clearance: Your license does not expire and applies worldwide across all current and future media formats.

B. What You CANNOT Do (Strict Restrictions)

• No Resale or Redistribution: You strictly cannot resell, sublicense, rent, bundle, donate, or distribute the raw source files, project files, LUTs, or presets in any digital marketplace, Discord server, Telegram group, or drive.
• No Public Cloud Sharing: You must never upload raw asset packages to public cloud mirrors (Google Drive, Mega, WeTransfer, Dropbox) or peer-to-peer torrent networks.
• No Derivative Competing Products: You cannot use source assets from Nexaura Academy to build and sell derivative template packs, preset bundles, or editing assets on competing digital storefronts.

5. Course Access Rules & Learning Masterclasses

When you purchase or enroll in video masterclasses, interactive courses, or curriculum modules on Nexaura Academy, your access is governed by specific educational terms:

• Personal Learning License: Course enrollment grants a personal, non-exclusive, non-transferable seat to stream instructional lectures and download provided exercise project files.
• Access Duration: You receive streaming access to the course lectures for the lifetime of your active account, subject to Nexaura Academy's continued operation.
• Strict Anti-Ripping & Anti-Recording Policy: You are strictly forbidden from recording, capturing, scraping, downloading video streams, screen-recording, or redistributing course lectures. Any detected stream ripping or video piracy will lead to immediate account termination and legal action under the Indian Copyright Act, 1957.
• Non-Transferability: Course enrollments cannot be transferred, reassigned, or shared among multiple students or editing teams.

6. Pricing, Payments & Instant Digital Delivery

All financial transactions on Nexaura Academy adhere to transparent, secure standards:

• Currency & Pricing: Product prices are displayed in Indian Rupees (INR) or localized currencies. Prices are subject to adjustment without prior notice, but price changes will not affect orders already completed.
• Payment Gateway (Razorpay): All online payments are handled securely via Razorpay (Razorpay Software Private Limited) under strict PCI-DSS Level 1 compliance. We do not store your raw card numbers, CVVs, expiry dates, or UPI PINs on our servers.
• Instant Delivery: Upon verified payment authorization, download keys and access tokens are instantly generated and linked to your user dashboard under "Purchases", alongside an automated transaction receipt dispatched to your authenticated email.
• Strict No-Refund Policy: Because all digital items (LUTs, presets, templates, courses) are irrevocable, consumable digital goods delivered instantly upon checkout, all sales are final and non-refundable once download links or video access are unlocked. Exceptions (such as accidental duplicate charges within 24 hours or verified corrupted download files) are reviewed exclusively by our customer care team under our Refund Policy.

7. Intellectual Property Rights

All creative assets, course lectures, software code, graphical user interfaces, trademarks, logos, branding, and text published on Nexaura Academy remain the sole and exclusive intellectual property of Nexaura Studios and its contributing creators.

Your purchase grants you a limited, revocable (upon breach), non-exclusive commercial license as outlined in Section 4. Purchase of a license does not convey ownership of the underlying copyrights, patents, or trade secrets.

8. Prohibited Activities (Zero Tolerance)

To preserve our platform's integrity and protect our creator community, you agree not to engage in any of the following prohibited behaviors:

• Digital Piracy & Warez Leaking: Sharing download URLs, license keys, or raw asset packages on unauthorized forums, leak sites, Discord communities, or Telegram channels.
• Reverse Engineering: Decompiling, reverse engineering, disassembling, or extracting the proprietary source code, algorithms, or APIs of the platform.
• Automated Scraping: Deploying automated spiders, scrapers, data-mining robots, or crawlers to extract product data, video streams, or catalog elements.
• Fraudulent Chargebacks: Initiating baseless chargebacks or payment disputes with your banking provider without first contacting support to resolve the issue. Unwarranted chargebacks will result in permanent account blacklisting and license revocation.
• Abusive Conduct: Harassing our customer support staff, submitting fraudulent copyright claims, or spamming ticket desks.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• "As Is" Disclaimer: Nexaura Academy, its digital assets, presets, and courses are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory. While our creative team tests all files extensively on standard releases of Adobe Premiere Pro, After Effects, DaVinci Resolve, and Final Cut Pro, we cannot guarantee uninterrupted compatibility across customized hardware configurations or future third-party software updates.
• Consequential Damages Waiver: In no event shall Nexaura Studios, its founders, directors, employees, or creator partners be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, business interruption, corruption of media projects, or computer failure) arising out of the use or inability to use our digital assets or educational materials.
• Monetary Liability Cap: Under all circumstances, the total aggregate liability of Nexaura Studios for any claim arising out of or related to these Terms or any purchased product shall be strictly capped at the actual amount paid by you for the specific asset or course giving rise to the claim.

10. Account Suspension & Termination

Nexaura Studios reserves the right, in its sole discretion and without prior notice, to suspend, disable, or permanently terminate your account and revoke all commercial licensing privileges if:

• You breach any provision of these Terms of Service or our Commercial Licensing Agreement.
• You engage in digital asset piracy, course video scraping, or unauthorized link leaking.
• You engage in payment fraud, identity spoofing, or unwarranted chargeback disputes.
• Requested by law enforcement, judicial authorities, or statutory government bodies.

Upon account termination, your right to access the platform, download assets, and stream courses will cease immediately. Any past commercial licenses granted for projects already published will remain valid, but you must cease using the raw asset files in new productions.

11. Governing Law & Dispute Resolution

These Terms of Service and any dispute, controversy, or claim arising out of or related to them, your account, or your purchases on Nexaura Academy shall be governed by and interpreted in accordance with the substantive laws of India.

You irrevocably agree that any legal suit, action, or proceeding arising out of or in connection with these Terms shall be instituted exclusively in the competent courts located in Cuttack, Odisha, India.

12. Modifications to Terms

We reserve the right to revise, update, or modify these Terms of Service at any time. When substantial revisions occur, we will update the "Last Updated" date at the bottom of this page. Your continued use of Nexaura Academy following any published modifications constitutes your legally binding agreement to the updated Terms.
